Terms of Service — Suada Labs

These Terms of Service ("Terms") govern your use of the Suada Labs platform ("Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. The Service

Suada Labs provides an AI-powered content and marketing automation platform that helps agencies and businesses generate, schedule, and optimise content across social media and advertising platforms. The Service includes content generation, competitor analysis, ad campaign management, landing page hosting, lead qualification, and email automation features.

2. Your account

To use the Service, you must create an account. You are responsible for:

Maintaining the confidentiality of your login credentials
All activity that occurs under your account
Notifying us immediately of any unauthorised access
Ensuring the information you provide is accurate and current

3. Third-party services

The Service integrates with third-party platforms including (but not limited to) Google Ads, Meta Business Platform, LinkedIn Marketing, TikTok for Business, Metricool, Anthropic, Cloudflare, and Resend. Your use of those services is subject to their own terms. We are not responsible for third-party service availability, performance, or policies.

You authorise us to access and interact with these services on your behalf using the credentials you provide. You are responsible for ensuring you have the right to grant us such access and for complying with those services' terms.

4. Acceptable use

You agree not to use the Service to:

Generate or distribute content that is illegal, defamatory, harassing, or infringes any third party's rights
Promote products or services that are illegal in your or your audience's jurisdiction
Violate the terms of any connected third-party service
Spam, scrape, or otherwise misuse the Service
Reverse engineer, decompile, or disassemble the Service
Circumvent or attempt to circumvent access controls or usage limits

5. Content ownership

You retain ownership of all content you provide to the Service (videos, brand assets, profile information) and all content generated by the Service on your behalf (captions, ad copy, landing pages, etc.). We claim no ownership rights to your content.

You grant us a limited licence to process your content as necessary to provide the Service.

6. AI-generated content

The Service uses artificial intelligence (primarily Anthropic's Claude) to generate content. You acknowledge that:

AI-generated content may contain inaccuracies, errors, or content that does not meet your requirements
You are responsible for reviewing and approving all AI-generated content before it is published
You are responsible for ensuring generated content complies with applicable laws and platform rules
We do not warrant the accuracy, completeness, or suitability of AI-generated content for any particular purpose

7. Fees and payment

Pricing is agreed separately between you and Suada Labs. Fees are invoiced in advance. Late payments may result in suspension of the Service. Ad spend on third-party platforms (e.g. Meta, Google) is billed directly to you by those platforms and is not included in our fees.

8. Service availability

We aim to maintain high availability but do not guarantee uninterrupted access. We may suspend the Service for maintenance, upgrades, or due to third-party service outages. We are not liable for downtime caused by third-party services we rely on.

9. Disclaimers & liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA.

We are not responsible for the outcomes of advertising campaigns, content performance, or any business results derived from the Service.

10. Termination

Either party may terminate with 30 days' written notice. We may suspend or terminate your account immediately for:

Breach of these Terms
Non-payment
Use of the Service in a way that creates legal or security risk

Upon termination, your data is deleted within 30 days except where we are legally required to retain it.

11. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or via the Service. Continued use after changes constitutes acceptance.

12. Governing law

These Terms are governed by the laws of England and Wales. Disputes shall be resolved in the courts of England and Wales.
